### Introduction

This External Marketing Promoters Agreement (“EMP Agreement”) is a binding contract between Connect Software LTD and the External Marketing Promoter (“EMP”). It must be read together with the Connect Software LTD Terms & Conditions, as it forms an essential part of those Terms.\
By registering as an EMP, you acknowledge that you have carefully reviewed, understood, and accepted the terms below, including (but not limited to):

* Clause 3. General Provisions for EMPs
* Clause 4. Duties of EMPs
* Clause 6. Ethical Standards for EMPs
* Clause 7. Conduct Guidelines for EMPs
* Clause 9. Suspension, Restriction, or Termination of EMP Accounts
* Clause 10. Risk Disclosure for EMPs

If translated, the English version of this Agreement shall prevail in the event of inconsistencies.

### 1. Eligibility of EMPs

1.1 **Connect Software LTD** allows Users to register as EMPs and share referral links in order to recommend and promote products and services offered by Product Partners and Service Partners.\
\
1.2 EMPs operate entirely as independent contractors. They are not employees, representatives, partners, franchisees, joint venturers, agents, brokers, or in any way legally affiliated with Connect Software LTD.\
\
1.3 EMPs bear all personal expenses associated with their promotional activities, including but not limited to travel, office costs, and communication expenses.

### 2. Rewards Under the EMP Program

2.1 The EMP Program provides access to the following information through the Platform:

* Referral Rewards Program
* Recognition milestones
* Bonuses, incentives, and benefits
* Approved marketing materials

2.2 Any attempt to gain unfair or illegitimate rewards may result in the immediate termination of EMP status and forfeiture of related benefits.\

2.3 EMPs are free to operate internationally, except in jurisdictions explicitly restricted by Connect Software LTD. Each EMP is responsible for ensuring compliance with the legal requirements of their country.\
\
2.4 EMPs must ensure their promotional activities are legally authorized and, where necessary, appropriately registered or licensed.\
\
2.5 EMPs assume full responsibility for complying with this Agreement and must promptly inform Connect Software LTD of any suspected breach, whether by themselves or others.

### 3. General Provisions

3.1 Connect Software LTD reserves the right to amend, update, or modify the EMP Program—including its reward structure and payment schedule—at any time, without prior notice.\
\
3.2 EMPs are responsible for staying updated on any changes. Continued participation in the Program constitutes acceptance of such modifications.\
\
3.3 Connect Software LTD does not impose quotas or minimum performance requirements. EMPs act independently, free from Connect Software LTD’s instructions.

### 4. Duties of EMPs

4.1 EMPs must act honestly and transparently when referring others.\
\
4.2 EMPs agree to indemnify and hold harmless Connect Software LTD, its officers, advisors, employees, and partners from any liabilities arising from a breach of this Agreement.\
\
4.3 EMPs must avoid unethical conduct, such as spamming, false claims, or misleading promotions.\
\
4.4 EMPs are expected to comply with this Agreement, Connect Software LTD’s Terms & Conditions, and all applicable policies of Product and Service Partners.

### 5. Referral Activities

5.1 EMPs may only earn rewards through direct referrals.

* There is no multi-level or downline structure.
* Rewards are exclusively linked to direct promotional efforts.

5.2 EMPs must not make promises or projections regarding income potential. Rewards are entirely dependent on individual actions and market conditions.\

5.3 EMPs must clearly state that:

* Connect Software LTD does not directly sell or distribute products or services.
* Connect Software LTD does not provide financial services, trading, or investment products.

5.4 Referral promotions must not target minors or vulnerable groups.\
\
5.5 EMPs may not share unlawful, offensive, defamatory, or otherwise inappropriate material.\
\
5.6 Any public statements about Connect Software LTD or its programs require prior written authorization.

### 6. Ethical Standards

6.1 EMPs must treat others with fairness, honesty, and respect.\
\
6.2 EMPs are prohibited from making claims about guaranteed earnings or exaggerated outcomes.\
\
6.3 EMPs must not give assurances or commitments regarding third-party products or services.

### 7. Conduct Guidelines

7.1 EMPs may not use Connect Software LTD’s branding, trademarks, or content without express approval.\
\
7.2 Only official marketing tools provided by Connect Software LTD may be used in promotional activity.\
\
7.3 All promotional communications must be clear, balanced, fact-based, and not misleading. EMPs must not:

* Refer to past or future returns.
* Suggest guaranteed profits.
* Create false urgency or “FOMO.”
* Encourage use of credit or debt for purchases.
* Omit or distort relevant information.

7.4 EMPs must clearly identify that their promotional activity is independent and not official communication from Connect Software LTD.

### 8. Confidentiality

8.1 EMPs must protect confidential information shared by Connect Software LTD, including business strategies, partner details, or financial data.\
\
8.2 This obligation continues indefinitely, even after termination of this Agreement.

### 9. Suspension, Restriction, or Termination

9.1 Connect Software LTD may suspend, restrict, or terminate an EMP’s account without prior notice if:

* The EMP violates this Agreement or Connect Software LTD’s Terms.
* Misleading or unlawful practices are identified.
* Illicit or suspicious activity is detected.
* Legal or regulatory obligations require it.
* The EMP is inactive for six (6) months.

9.2 Upon termination, the EMP must stop all promotional activity and cease using Connect Software LTD’s intellectual property.\
\
9.3 Termination removes eligibility for future rewards. Rewards earned up to the date of termination may be retained, subject to compliance.

### 10. Risk Disclosure

10.1 By participating in the EMP Program, EMPs accept that:

* Referral results are variable and not guaranteed.
* Rewards depend on personal effort, compliance, and external conditions.
* Market or regulatory changes may affect outcomes.

10.2 Connect Software LTD provides no assurance of income, success, or financial return.\
\
10.3 EMPs should consult professional advisors (legal, tax, or financial) before making decisions connected with their participation.\
\
10.4 Continued participation indicates full acceptance of these risks. If uncertain, EMPs should refrain from joining or continuing in the Program.

### 11. Governing Law and Jurisdiction

11.1 This Agreement is governed by the laws of the British Virgin Islands (BVI).\
\
11.2 Courts of the British Virgin Islands shall have exclusive jurisdiction over disputes arising out of or in connection with this Agreement.
